Run With Arc LLC Commercial Beta Terms of Use

Version 1

Effective Date: This Version 1 takes effect when Run With Arc LLC approves it for release, publishes it, records it as the active version in the Arc legal-version registry, and turns on the live acceptance flow. Until all of those steps happen, this Version 1 has no effect.

This is the first Arc Terms of Use that Run With Arc LLC has published and made effective. Any earlier draft was a prelaunch document. Run With Arc LLC never published it, never made it effective, and no user accepted it.

1. About These Terms and Who Can Use Arc

1.1 Parties and Scope

Run With Arc LLC ("Run With Arc" or the "Company") operates Arc, an AI-assisted running and fitness coaching product delivered through the Arc website and mobile applications (together, the "Service"). These Commercial Beta Terms of Use (the "Terms") form a binding agreement between you and Run With Arc. The Terms apply when you create an Arc account, activate introductory access, hold Founding Beta access, purchase a paid subscription, or otherwise use the Service.

1.2 Eligibility

The Service is available to individual users in the United States who are 18 years of age or older. You may use Arc only for your own personal, noncommercial fitness use. By using the Service, you represent that you meet these requirements.

1.3 Beta Status

Arc is a Beta product. Beta status describes the maturity of the product and the fact that features can change, appear, or be removed during development. Beta status does not describe whether your access is complimentary, introductory, or paid. Your access type is set by the entitlement you hold under Section 4.

2. Acceptance of the Terms

2.1 How You Accept

You accept these Terms by taking the affirmative action the Service presents, such as selecting a checkbox or button that states you agree to the Terms, before the Service grants gated access. Run With Arc records your acceptance as an account-specific and version-specific event tied to the exact text you accepted, with a timestamp. Acceptance occurs before Commercial Beta introductory access activates.

2.2 If You Do Not Accept

If you do not accept these Terms, do not create an account, activate introductory access, or use the Service.

2.3 Linked Documents

The Arc Privacy Notice applies to your use of the Service and is available through a link presented with these Terms. Additional terms presented at purchase or within a specific feature apply to that purchase or feature.

3. Changes to the Terms

3.1 How Run With Arc Makes Changes

Run With Arc may revise these Terms. When Run With Arc revises the Terms, it assigns a new version, updates the effective date, and records the new version in the legal-version registry.

3.2 Changes That Require Your Fresh Acceptance

For a material change, Run With Arc presents the revised Terms and obtains your fresh affirmative acceptance before the material change applies to you. Material changes include changes to subscription pricing or billing, payment terms, the limitation of liability, dispute resolution, how Arc uses your data, and your core user obligations.

3.3 Changes That Take Effect by Notice

For a nonmaterial change, such as a copy edit, a contact-detail update, or a clarification that does not reduce your rights, Run With Arc posts the revised Terms and provides notice. Continued use after a nonmaterial change means you accept it. Run With Arc does not use continued use alone to impose a material change or to obtain your original acceptance.

4. Access Types: Introductory Access, Founding Beta Access, and Paid Subscription

4.1 These Are Separate

Introductory access, Founding Beta access, and a paid subscription are separate forms of access. Holding one does not create another. None of them converts into another automatically.

4.2 Introductory Access

Introductory access lets you use the Service for a 14-day period. Introductory access requires no payment method and no card entry. You activate it by an affirmative action. Introductory access does not renew, does not convert to a paid subscription, and results in no charge when it ends. When introductory access ends, your access stops unless you make a separate paid purchase under Section 5. Introductory access is available one time per person. If you previously held Founding Beta access, you are not eligible for a separate introductory-access period.

4.3 Founding Beta Access

Founding Beta access is complimentary access that Run With Arc granted to eligible early users. Founding Beta access continues through December 31, 2026 at 11:59 PM America/Chicago. Run With Arc provides notice before Founding Beta access expires. When Founding Beta access ends, your access stops. Founding Beta access does not enter introductory access, does not enter a paid subscription, and creates no charge at expiration. To keep using the Service after Founding Beta access ends, you must make a separate affirmative paid purchase under Section 5.

4.4 Loss of Entitlement

Loss of entitlement means your access type ends, for example when introductory access expires, when Founding Beta access ends, or when a paid subscription lapses. Loss of entitlement is separate from cancellation, account deletion, and data retention.

5. Paid Subscription, Billing, and Checkout

5.1 Subscription and Price

The Arc paid subscription costs $9.99 per month in U.S. dollars. The subscription is a recurring charge. It renews automatically each month and charges the same amount each month until you cancel.

5.2 Purchase Through Stripe

Run With Arc uses Stripe-hosted Checkout for direct web purchases. When you purchase, you provide your billing information to Stripe. Your purchase is a separate affirmative action. Founding Beta access and introductory access never start a paid subscription on their own.

5.3 What You See Before You Pay

Before you provide billing information, the checkout screen states the $9.99 monthly price, the recurring nature of the charge, the monthly renewal timing, how to cancel, and the refund policy, and it links to these Terms and the Privacy Notice. You authorize the recurring monthly charge and agree to these Terms by completing the purchase action at checkout.

5.4 Confirmation

After you purchase, Run With Arc provides a confirmation you can keep. The confirmation states the subscription price, the recurring monthly charge, the renewal timing, and how to cancel.

5.5 Renewal

Your subscription renews each month on your billing date and charges $9.99 until you cancel.

5.6 Price Changes

Run With Arc gives you advance notice of any change to the subscription price or billing terms and obtains your fresh acceptance under Section 3 before the change applies to you.

6. Cancellation, Refunds, Chargebacks, and Suspension

6.1 How to Cancel

You can cancel your paid subscription at any time through the Stripe customer portal or an equivalent online cancellation path that Run With Arc provides in the Service.

6.2 When Cancellation Takes Effect

Cancellation stops the next renewal. Your paid access continues through the end of the billing period you already paid for. Cancellation does not delete your account and does not, by itself, erase your data.

6.3 Refund Policy

Run With Arc does not provide refunds for the current billing period after a monthly charge, except where a refund is required by law or where Run With Arc chooses to grant one. A discretionary refund in one case does not require Run With Arc to grant a refund in another case. Legally required refunds apply regardless of this policy.

6.4 Chargebacks

If you dispute a charge with your card issuer, contact Run With Arc first so it can review the charge. A payment reversal or chargeback may result in suspension of your access while Run With Arc reviews the dispute.

6.5 Suspension and Termination

Run With Arc may suspend or terminate your access if you breach these Terms, if your payment fails, or if your use creates legal or security risk. Where the reason allows advance notice, Run With Arc provides it.

6.6 Resubscription

If your subscription ends, you may resubscribe by making a new paid purchase, subject to the price and terms in effect at that time.

7. Account Deletion and Live Subscriptions

7.1 Your Right to Delete

You can request deletion of your Arc account through the Service. Arc completes the deletion through an operator process after it resolves your subscription status as described in Section 7.2.

7.2 Active Subscription Handling

If you hold an active paid subscription when you request deletion, Run With Arc cancels the active Stripe subscription as part of the deletion process before it removes your account, so a recurring charge does not continue after your account is gone.

7.3 Effect of Deletion

When Arc completes the deletion, your access ends and Arc removes or de-identifies your account data, subject to the records described in Section 7.4. Deletion is separate from cancellation and from loss of entitlement.

7.4 Retained Records

After deletion, Run With Arc may keep limited records it needs to meet legal, tax, accounting, security, and dispute-resolution obligations, including records of your acceptance of these Terms and transaction records. Run With Arc handles retained records as described in the Privacy Notice.

8. Account Registration and Security

8.1 Accurate Information

You agree to provide true, accurate, and current information when you register and to keep it updated. Run With Arc may suspend or terminate your account if information you provide is untrue or incomplete.

8.2 Your Credentials

You are responsible for keeping your login credentials confidential and for activity under your account. Tell Run With Arc promptly if you learn of unauthorized use of your account. To the extent the law allows, Run With Arc is not liable for loss caused by your failure to protect your credentials.

9. Your Content and License

9.1 What You Submit

You may submit information and materials to the Service, including activity data, soreness, pain, fatigue, and readiness inputs, goals, training plans, coaching conversations, and activity files ("User Content").

9.2 You Keep Ownership

You keep ownership of your User Content.

9.3 License to Run With Arc

You grant Run With Arc a limited, worldwide, royalty-free license to host, store, reproduce, and process your User Content for the purpose of operating and providing the Service to you, maintaining and securing the Service, and meeting legal obligations. This license lasts as long as Run With Arc holds your User Content and ends when Run With Arc deletes or de-identifies it. Run With Arc uses your User Content to deliver coaching and Service features to you. Run With Arc does not sell your personal information.

9.4 Your Responsibility for User Content

You represent that you have the right to submit your User Content and that it does not infringe another person's rights or violate law.

9.5 Feedback

If you send feedback, bug reports, suggestions, or corrections about Arc, you authorize Run With Arc to use that feedback to operate, evaluate, troubleshoot, develop, and improve the Service. This authorization covers feedback you choose to submit. It does not transfer ownership of your other User Content and does not permit any use of personal information that the Privacy Notice does not allow.

10. Arc Intellectual Property and Acceptable Use

10.1 Arc Intellectual Property

The Service and its content, software, coaching materials, text, graphics, and logos are owned by Run With Arc or its licensors and are protected by intellectual property laws. Run With Arc grants you a limited, personal, noncommercial, nontransferable, revocable license to use the Service while your access is active. You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from the Service, except as the law allows or Run With Arc permits in writing.

10.2 Acceptable Use

You agree not to do any of the following:

use the Service in a way that breaks the law or harms another person.

interfere with or disrupt the Service, its servers, or its security.

gain or attempt to gain unauthorized access to the Service, another account, or a connected system.

impersonate another person or misrepresent your affiliation.

upload material that infringes another person's rights or that contains malicious code.

use the Service to send unsolicited commercial messages or to collect other users' information for marketing.

10.3 Enforcement

Run With Arc may remove content or restrict access that breaches this Section, consistent with Section 6.5.

11. Fitness Coaching, Not Medical Care

11.1 What Arc Provides

Arc provides AI-assisted fitness and running coaching. Arc gives training guidance based on the information you submit.

11.2 What Arc Does Not Provide

Arc does not diagnose injuries or medical conditions. Arc does not prescribe treatment. Arc does not provide medical clearance to exercise. Arc does not replace a physician, physical therapist, or other healthcare professional. Arc does not provide emergency or real-time health monitoring.

11.3 Your Health Decisions

You are responsible for your own health and training decisions. Talk with a qualified healthcare professional before you start or change an exercise program, and if you have pain, injury, or symptoms that concern you. If you have a medical emergency, call your local emergency number.

11.4 AI Limits

Arc uses automated systems that can produce output that is incomplete or wrong. Use your own judgment before you act on Arc's guidance.

11.5 No Guaranteed Results

Fitness results depend on many factors. Arc does not guarantee any particular fitness, performance, or health result.

12. Disclaimers

12.1 Service Provided As Is

The Service is provided on an "as is" and "as available" basis. To the extent the law allows, Run With Arc disclaims implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12.2 Availability

Run With Arc does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Because Arc is a Beta product, features can change or pause during development.

12.3 Nonwaivable Rights

Some jurisdictions do not allow the exclusion of certain warranties, so these disclaimers apply only to the extent the law allows. This Section does not limit any right you have that the law says cannot be waived.

13. Limitation of Liability

13.1 Excluded Damages

To the extent the law allows, Run With Arc is not liable for indirect, incidental, special, consequential, or punitive damages that arise from your use of, or inability to use, the Service.

13.2 Liability Cap

To the extent the law allows, the total liability of Run With Arc for all claims arising from the Service in any 12-month period is limited to the greater of the amount you paid Run With Arc for the Service in that period or one hundred dollars ($100).

13.3 Limits on These Limits

Some jurisdictions do not allow the limitation or exclusion of certain damages, so parts of this Section may not apply to you. Nothing in these Terms limits liability that the law says cannot be limited, including liability for gross negligence, willful misconduct, or personal injury to the extent the law prohibits a waiver. This Section does not limit your legally required refund rights or the refund terms in Section 6.

14. Indemnification

You agree to defend and indemnify Run With Arc against third-party claims, damages, and reasonable costs, including reasonable attorney fees, that arise from your breach of these Terms, your misuse of the Service, or your violation of law or of another person's rights. Run With Arc tells you about the claim and may take part in its defense with its own counsel. This Section does not apply to the extent a claim results from Run With Arc's own conduct.

15. Dispute Resolution, Arbitration, and Class Action Waiver

15.1 Informal Resolution First

If you have a dispute with Run With Arc, contact Run With Arc first. Both sides will try to resolve the dispute informally for 30 days before starting arbitration.

15.2 Arbitration

To the extent the law allows, you and Run With Arc agree to resolve disputes that do not settle informally through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration proceeds in the county where you live or another location both sides agree to. Arbitration uses this individual process rather than a court or a jury.

15.3 Small Claims

You may bring a qualifying claim in small claims court instead of arbitration.

15.4 Class Action Waiver

To the extent the law allows, you and Run With Arc agree to bring claims only in an individual capacity and not as a plaintiff or class member in a class, collective, or representative action.

15.5 Opt-Out

You may opt out of this Section 15 by sending written notice to Run With Arc within 30 days after you first accept these Terms. If you opt out, the arbitration and class action waiver in this Section do not apply to you, and the rest of these Terms still apply.

15.6 Effect of Law

This Section applies only to the extent the law allows. State law and nonwaivable consumer rules can limit or bar arbitration or a class action waiver. Where a part of this Section is not enforceable, the rest of this Section still applies to the extent the law allows.

16. Third-Party App Store Billing

16.1 When This Applies

This Section applies only if and when you purchase or manage an Arc subscription through a third-party app marketplace, such as the Apple App Store or Google Play. Arc does not currently offer a purchase path through the Apple App Store or Google Play. Run With Arc includes this Section so it is ready if those paths open.

16.2 Marketplace Terms Govern the Purchase

If you buy through a marketplace, the marketplace processes your payment and its terms govern that purchase, including its billing, renewal, cancellation, and refund handling.

16.3 Cancellation and Refunds Through the Marketplace

To cancel or seek a refund for a marketplace purchase, use the marketplace's process. Run With Arc cannot cancel or refund a charge that the marketplace controls.

16.4 Conflicts

If a marketplace's required terms conflict with the direct-billing terms in Sections 5 through 7, the marketplace's terms control for that marketplace purchase, and the direct-billing terms control for a direct web purchase.

17. Termination

Run With Arc may suspend or end your access as described in Section 6.5. You may stop using the Service, cancel a subscription under Section 6, or delete your account under Section 7 at any time. The sections that by their nature should continue after your access ends survive, including Sections 9.3, 10, 12, 13, 14, 15, and 18.

18. General Terms

18.1 Governing Law

Tennessee law governs these Terms and your use of the Service, without regard to conflict-of-law rules. Section 15 governs how disputes proceed. Where Section 15 does not apply, the state and federal courts located in Tennessee have jurisdiction, and both sides consent to that jurisdiction to the extent the law allows.

18.2 Assignment

You may not assign these Terms without Run With Arc's prior written consent. Run With Arc may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

18.3 Severability

If a court finds any part of these Terms unenforceable, that part is limited or removed to the minimum extent needed, and the rest stays in effect.

18.4 Entire Agreement

These Terms and any terms presented at purchase or within a feature are the entire agreement between you and Run With Arc about the Service, and they replace earlier drafts and understandings. The Privacy Notice describes how Arc handles data and applies to your use of the Service alongside these Terms.

18.5 Force Majeure

Run With Arc is not responsible for a delay or failure caused by events beyond its reasonable control.

18.7 Copyright Complaints

Run With Arc responds to notices of claimed copyright infringement under the Digital Millennium Copyright Act. Send notices to the Run With Arc copyright agent at Copyright Agent, Run With Arc LLC, 2298 Young Ave, Unit #575, Memphis TN, 38104, copyright@runwitharc.com.
